摘要：随着经济全球化和市场经济进程的不断深入，国内外经济环境日益复杂多变，市场竞争空前加剧，很多企业不得不通过扩大市场规模，开展多元化经营，筹集更多资本，以达到增强市场竞争力、降低企业风险的目的，这时企业的融资管理就显得至关重要。
本文目的是对上市公司融资管理中存在的一些问题的探究。通过收集归纳整理相关融资管理的文献和资料，对企业融资管理的融资方式、融资结构、管理层收购等方面进行了现状分析，发现我国上市公司融资管理存在的问题。针对这些问题，笔者提出了几点建议。希望通过控制企业融资管理的各种风险，来实现企业价值最大化和长远发展。

Abstract:Along with the economic globalization and the process of the market economy unceasingly thorough, the domestic and international economic environment increasingly complex and changeful, market competition is all-time aggravate, many enterprises have to by expanding the size of the market, begin diversity to manage, raise more capital, to enhance market competition ability, reduce business risk, and enterprise financing management is important.
The purpose of this paper is to listed company's financing management of some existing problems in the research of. Through the collection of documents and information, the financing of enterprises management mode of financing, financing structure, management buyouts and other aspects of the analysis of the present situation, found that China's listed companies financing management problems. Aiming at these problems, the author puts forward some suggestions. The hope of controlling the financing management risks, to achieving the maximization of enterprise value and long-term development.

本文分析了股权融资和债权融资的现状，并在分析的过程中认识到，只有在选择多种融资方式进行融资时，才能更加有效的规避融资风险。对于我国上市公司融资管理存在的问题，首先应尽快建立相关的健全法律法规, 为上市公司融资管理提供完善的法律依据, 只有这样才能真正意义解决融资管理所存在的问题。其次, 还应加快完善我国的企业债券市场, 鼓励增加多种债券产品，满足不同类型的投资需求，充分发挥企业的债券融资效应。同时，也要建立有效的人员治理机制，为企业融资管理的发展提供良好的人员治理保障。
