摘 要:数十年来，西方股利政策理论得到了巨大的发展，已经形成了一套比较完善的理论体系。由于历史的原因，我国财务学界对股利理论的研究比较匮乏。1990年末上海证券交易所的成立，揭开了我国证券市场的序幕。这为广大学者研究财务理论，尤其是股利理论提供了极好的舞台和机遇。笔者在查阅了大量文献的基础上，试图从理论和现实两个角度，探讨我国上市公司的股利分配的问题。本文着重分析我国上市公司股利分配的现状及其原因，并以此为基础提出规范上市公司股利分配行为的一些建议和制定适宜的股利分配政策，从而对规范我国的资本市场运作有所贡献。

ABSTRACT:For decades, western theory of dividend policy has been a great development, has formed a comparatively perfect theory system. Due to historical reasons, China's financial circles on dividend theory compare deficient. At the end of 1990, the Shanghai stock exchange was founded; China opened a prelude to the securities market. For the majority of scholars to study the financial theory, especially the theory of dividend provides excellent stage and opportunities. The writer studied based on a large number of literature, attempts from the theory and reality two angle, discuss our country listed company dividend assignment problem. This paper focuses on the analysis of dividend distribution of Listed Companies in China and the reasons for the current situation, and on this basis proposes the dividend distribution of the listed companies and some recommendations for appropriate dividend policy, so as to standardize the operation of Chinas capital market contribution.
