摘要:本论文从数据入手主要分析吉利收购沃尔沃这一案例,再结合联想收购IBM的PC业务、中海油收购优尼科等多个我国企业收购海外企业失败案例总结出目前我国企业在海外收购上还不完全成熟,不应过高的估计收购后的效益导致盲目地进行跨国收购,但同时也不能失去积极性,应全面理性地对待中企海外收购以及在收购中遇到的挫折,其次针对收购中普遍存在的员工整合与管理理念等一系列问题,通过大量阅读有关海外收购的资料并且结合我国企业目前的实际情况提出一些有建设性的建议。

Abstract:In the early 1980s,some Chinese enterprises which want to go out use overseas acquisitions as a bridge.In 1990s,many enterprises begin to purchase overseas enterprises.After 2004, overseas acquisitions make great progress.From then to now,the overall successful rate of Chinese overseas acquisitions is low.According to the date provided by mergers and acquisitions database, from the announce of the intention of acquiring to the completion of the acquisition , the world has failed to achieve 30% of the deal, while China is as high as 49% .This paper analyzes the case of Geely acquiring Volvo based on data and combined with the case of Lenovo acquiring IBM, SAIC acquiring Ssangyong and so on to summed up that a number of overseas acquisitions are still not fully mature. Chinese enterprises should not overestimate the benefits of the acquisition and acquire blindly, but it also can not lose enthusiasm and should treat the overseas acquisitions rationality as well as the setbacks in the acquisition. At last, I will put forward some specific suggestions based on real stitution by reading great deal of relevant informationa to solve the problemof staff and management philosophy.
