摘要:公司法人格否认制度在我国刚刚起步，尚不成熟，但是该制度对于市场交易却非常重要，其经济意义，社会意义重大，如果该制度能得到有效的完善，那么公司法人格否认则会对社会做出重大贡献，不过公司法人格否认制度在我国尚不成熟，需要完善的地方很多，因此，本论文通过一定层面的探讨和分析，研究我国公司法人人格否认制度与其他国家相比需要完善的地方，通过借鉴外国有关该制度的研究以及结合我国国情提出完善公司法人格否认制度的建议，更全面的了解完善公司法人格否认制度的意义。

Abstract:The law of corporation personality denial system has just started in our country, is not mature, but the system to market transaction is very important, its economic significance, social significance, if the system can be effectively improved, so personality denial will make a significant contribution to the society, but the personality denial system in our country is still not mature, need to be perfected very much, therefore, this paper through a certain level of discussion and analysis, we study the system of disregard of corporate personality in comparison with other countries needs to be perfected, by learning from foreign study about the system and combining the situation of our country put forward to perfect the law of corporation personality denial system, a more comprehensive understanding of perfect law the system of denying personality meaning.

公司法人人格否认制度在2005年才初次引入我国《公司法》，因此有许多不足之处需要完善，例如：没有规定公司法人人格否认的司法审查标准，未明确列举确定具体情形和适用标准，公司法人人格否认制度在实践中难以实施等等，本论文通过一定层面的探讨和分析，研究我国公司法人人格否认制度与其他国家相比需要完善的地方，并对此提出了一些自己的见解，更全面的了解该制度有哪些不足之处，应该如何完善它，完善它有什么重要意义。
