摘要:改革开放之后的外资并购规模和数量不断增加，而随着中国加入WTO和综合实力的上升，中资海外并购规模也不断发展，通过比较外资和中资面对的不同政策，建议面对外资在中国市场的垄断倾向，政府应该尽快制定并实施相关的反垄断法律法规，实施适当的外资优惠政策；而在中资海外并购成效不大的现状下，政府应该给予政策上的支持以及完善境外投资的法律法规。

Abstract: After the reform and opening of m&a increasing of quantity and size of Foreign Capital Merger and Acquisition, With China's accession to the WTO and comprehensive strength to rise, Chinese overseas acquisitions scale also unceasing development, through comparing the different foreign and domestic policy, suggest face of foreign investment in China market tendency, the government should monopoly as soon as possible the formulation and implementation of relevant anti-monopoly law regulations, implement appropriate foreign preferential policies; And in domestic foreign acquisitions have much effect under the present situation, the government should give policy support and perfect the laws and regulations of overseas investment.

本文通过对外资在华并购和中资海外并购进行比较研究，观察外资在中国市场的行为是否形成垄断，进而危及中国经济安全；以及分析中资海外并购的成效，解析中资在海外并购中面对的外国政策，给予中国企业在海外并购的行为中提供建议，如何避免海外并购中出现的危机，提高海外并购的成功率，又如何在并购成功之后顺利的整合企业，使企业获得最大的效益。
