摘要：投资者是证券市场的主体，是证券市场存在的基础。所以，保护投资者的利益，维护投资者的信心，是证券市场健康发展的基础。而中小投资者又是我国投资者的主体，所以保护中小投资者的利益具有必要性，并且加强中小投资者的利益保护具有紧迫性，这是我国的证券市场长久健康发展的客观要求。但是，证券市场相关法律制度的不完善，在中小投资者利益保护的过程中得到了体现，由此可以看出我国证券相关法律制度还存在较大的缺陷。从我国目前的情况来看，时常发生中小投资者利益受损害的事件，制约了证券市场的发展，也暴露了证券市场法律环境下隐藏着的忧患。因此，完善相关法律法规，来保护中小投资者利益已经是大势所趋。本文结合案例对我国中小投资者保护现状进行分析，并提出相应的完善措施。

ABSTRACT：Investors is the main part of the securities market and the foundation of the securities market. Therefore, to protect the interests of investors, maintaining the confidence of investors, is the foundation of the healthy development of the securities market. And small investors is the main parts of the securities market of our country, so it is necessary to protect the interests of small investors, and strengthening the protect the interests of small investors is urgent. It also meets the demand of sustainable and healthy development of securities markets. However, the securities market related legal system is imperfect, reflected in the process of the small investors interests protection, it can be seen that our securities law system has large defects. From the present situation in our country, events that damage the interests of medium and small investors are often happen, restricting the development of the securities market, restrict the development of the securities market, and also exposes the hidden trouble in the securities market law environment. Therefore, perfect the relevant laws and regulations, to protect the interests of small investors is imperative. In this article ,combining with case analysis about the present situation of small investor protection in China, and put forward the corresponding improvement measures.

目前，与证券市场发展的整体水平相比，我国证券市场中对中小投资者的保护水平比较落后，与发达国家相比，我国上市公司的股权结构不合理、监管体系不完善、中小投资者保护的法律水平仍然很低，所以需要不断提高我国中小投资者的利益保护水平，保护中小投资者的利益在我们国家具有十分重要的意义。要想获得中小投资者的信任，就必须保护其利益，这是股份公司发展的基础，因为企业还得依靠外部的众多中小投资者来筹集更多的资金，达到其扩大发展规模的目的。因此，只有真正且有效地保护中小投资者的利益，才能增强中小投资者对证券市场的信心，长期为公司的发展提供资金，使得企业不断壮大，进而维持我国证券市场的稳定与健康发展，同时促进社会与经济的发展。
要想确保证券市场的稳定与健康发展，首先就要保护中小投资者的利益不受侵害，因为保护中小投资者的利益，可以有效地降低其在投资过程中遇到的风险，推动中小投资者增加财产性收入。证券市场制度只有真正以中小投资者的利益为重心，才能最终实现投资者、公司的利益最大化，促进资本的积累，从而进一步完善我国的证券市场。
