摘要:人力资本能否出资是当今社会经济法学界的热点,作为企业组织三种形式之一的合伙企业准许以劳务出资,而2005年修订的《中华人民共和国公司法》却未明确说明公司能否准许人力资本出资,之后出台的《公司登记管理条例》则明确规定公司不得以劳务等作价出资。在上海、温州等地的地方性法规中却又为人力资本出资大开绿灯,这种法规上的相悖,使公司能否准许人力资本出资再次成为学界讨论的热点。本文从人力资本概念、人力资本出资入股可行性和现实中的应用、人力资本的价值评估思路、人力资本出资后破产清算时对于债权人的保护等四大部分展开讨论,以期真正提高人力资本所有者的法律地位,从而使我国公司法不断完善,进一步推动经济社会的发展。

Abstract: Whether the contribution that human capital is a hot topic of today’s economic law academia, the the partnership business as one of the three forms of business organization is allowed to use labor as capital, and the revised "Company Law of People’s Republic of China in 2005 have not been clearly stated that the company’s ability to permit human capital, and after the introduction of People's Republic of China on the Administration of Company Registration ” is clear that the company shall not permit labor as the capital. In Shanghai, Wenzhou and other places, local laws and regulations, but given the green light for Human Capital. Different on such regulations, the company's ability to allow the Human Capital Demutualization has once again become the hot topic in academia. In this paper, start discussion with the concept of human capital, human capital investment shares in the feasibility and reality of human capital valuation and insolvency issues, human capital invested for the protection of creditor. We hope to improve the legal situation of human capital owner. Besides,it is good for the improvement of China’s company law and the economic development.

本文主要采取折中和初步探究的手段,综合两个不同的研究方向对于人力资本出资入股问题进行一定的探究,尤其是对于人力资本出资的合理性和人力资本出资后在破产清算时对债权人的保护等进行一定的分析,给了各位读者一定的借鉴。虽然现今对于人力资本出资入股存在着许多的不合理性,但是关于人力资本出资入股问题的研究在今后依旧是在企业管理领域内的热点,并且相信人力资本的准许入股今后肯定会在法律制度上予以肯定,在现实中得以广泛应用和反复实践,虽然并非所有行业都适用这种新的资本组成形式,但是今后多数行业采用也必将是大势所趋。
