摘要：本文主要采取比较分析等方法，对我国监事会制度与独立董事制度并存的实际状况进行分析，从而证实我国监事会制度与独立董事制度是可以并存，并且是可以相互协调，发挥作用的。同时将分析在实际运行中，两者在职能设计与在实际作用发挥上存在的冲突，职能上存在的重叠。最后在分析的基础上，结合我国公司具体治理的现实情况，对于我国监事会制度与独立董事制度在并存中如何更好发挥各自作用提出建议。

Abstract: Mainly adopting the method of comparative analysis, this thesis analyzed the actual situation of coexistence of supervisory board system and the independent director system, to confirm their availability of coexistence, inter-coordination and interaction in China. In the mean time, it also analyzed the collisions that both systems have in their function designs and the actual roles they play, as well as the functional overlap when practicing. On this basis, combined with the reality of corporate governance in China, it put forward a few suggestions on how both systems play their respective roles better while coexisting.
