摘要:在当代经济高速发展的同时，公司在发展的过程中带来的社会问题日益严重，人们逐渐意识到公司社会责任的重要性。我国现行公司法虽然对公司社会责任有所规定，但是公司社会责任在我国可操作性不强，并没有好好加以利用，在立法和实践中仍存在很多不足，因而无论在理论上还是实践中研究公司社会责任仍具有重要的意义。本文试从分析我国《公司法》第5条的规定入手，研究探讨公司社会责任在我国存在的法律问题，并且通过寻找我国《公司法》第5条规定与公司社会责任之间存在的差距，进一步完善我国《公司法》的规定，从而使公司社会责任在我国得以真正确立和贯彻。

Abstract:With the rapidly development of contemporary economic social, it has a serious social problems of the company in the process of development, people realized the impotent of Corporate Social Responsibility. Although the current of Corporate Law in our country have proviso on the corporate social responsibility, it is weak to maneuverability, and it doesn’t have a good use of it, which on the legislate and practice have a lot of shortage, so no matter at the theory or at the practice it will be a significant to research corporate social responsibility. This paper try to analysis the problem of our Corporate Law in the number five , and to explore the illegality of our country in the corporate social responsibility, and try to find out the gap of Corporate Law and the corporate social responsibility that to perfect the rule in our Corporate Law ,so that it can be truly to establish and implement the corporate social responsibility in our country.

由于社会在发展的过程中不断出现的社会问题，人们逐渐的意识到不能片面的追求经济的发展，应更多的考虑其他人文因素。推行公司社会责任是将公司承担社会责任作为其营利目的的限制和补充，在尊重公司和股东利益的同时兼顾好整个社会有机体的效率和利益。因此，笔者认为强化公司社会责任理念必将对我国和谐社会的构建，走可持续发展道路和以人为本的科学发展观产生重大的意义，也一定会给我国现代企业制度的完善提供宝贵的借鉴。到时，公司一定能以崭新的面貌为人类社会和我国经济做出更大的贡献。
