摘要:民营上市公司的股权结构具有“一股独大”、家族企业家族控股和股权分置等显著特征。而在这种股权结构下，家族企业金字塔控股股权结构形式尤为突出。同时在这种股权控制的情况下就容易出现大股东或家族成员过多地干预企业日常的经营管理、侵害中小股东利益等问题。本文主要集中在上述三大股权结构特征之一的家族控股和金字塔股权控制结构这一问题，对我国民营上市家族企业家族控股公司进行分析，并提供一些完善股权结构的建议，以有利于我国民营上市公司的健康发展。

Abstract:The equity structure of the private listed companies has some characteristics: absolutely control by one shareholders, family holding and non-traded shares, which easily cause the problems such as large shareholders and family holder overly intervening management of enterprises and harming the benefits of middle and small shareholders. Under the equity structure characteristics, the enterprise of family holding and pyramid structure are abviously.This paper mainly focuses on family holding and pyramid structure, which is the one of above equity structure characteristics, analyzing Chinese private listed enterprises and giving some advices to promote these enterprises developing healthy.

我国民营上市公司的不断发展对我国市场经济起到了极其积极的推动作用。而随着国家政策的不断修改、调整和完善，也正在为民营上市企业能够更好的发展创造有利条件。而作为具有良好发展空间的民营企业，其自身也应不断地去调整和完善自己，这样才能让企业本身得到最大程度上的发展。我国民营上市公司可以结合自身情况，有选择的借鉴与采纳上述提出的一些改革建议，不断完善公司治理机制，建立有效的监管机制，这样不仅可以避免企业在发展过程中走很多弯路，还可以加强上市公司的核心竞争力凝聚力和持续发展的能力。相信我国民营上市公司经过历练与变革，定会迎来企业持续发展的广阔天空。
