摘要：本论文以中日合资企业南京华洋电气有限公司为具体研究对象，选取南京华洋电气有限公司2010、2011、2012三年的年度财务报告数据，通过一定的方法分析该企业资本结构管理现状，主要分析其在资本结构管理方面存在的问题，并结合该企业的实际经营管理情况，找出并分析问题存在的原因，提出南京华洋电气资本结构优化与设计的具体方案与措施。
本文内容分两点：其一，根据南京华洋电气有限公司年度账表计算财务指标，主要分析企业长期偿债能力指标，依据资本结构理论指出资本、负债所占比率存在的问题，设计出合理资本结构。其二，结合目前政治经济局势，分析南京华洋电气目前资本结构的优势劣势，计算企业资金成本，对企业资本结构进行优化，降低企业风险，提高经济效益，使企业价值最大化。

Abstract：In this paper， we try to use Nanjing HuaYang Electric Co.，Ltd which is a Sino-Japanese joint venture as the research object， based on it's latest three years of annual financial report data， and analysis the capital structure and the enterprise management status .try to find the major problems which existed， and then using the actual management status data， to find out causes of problems and then put forward the specific proposals to those facing issues.
The paper consists of two parts: first， according to the Nanjing HuaYang Electrical Company Limited annual account reports to calculate financial indicators， based on the theory of capital structure and points out the percentage of the capital and debt which may cause the existing problems then design a reasonable capital structure. Secondly， combined with the current political and economic situation， do a detail analysis of Nanjing HuaYang electrical's current capital structure， find out it's advantages and disadvantages， then calculate the weighted average cost of the capital， optimize the capital structure of the enterprises to reduce the risk of enterprises， enhance economic efficiency， maximize the value of the enterprise.
