摘要:股利政策作为上市企业财务管理核心之一，在企业未来发展中占有重要的席位，它不仅仅代表企业股东与债权人之间利益关系，还代表了企业股东与经营者之间的关系，更影响着企业未来的发展道路。合理的股利政策对内能协调投资者，筹资者，经营者之间的关系，对外能树立良好的企业形象，吸引投资者。通过对上市公司股利政策的基本论述，分配方式，制约股利政策的因素，分析宝丰能源股利分配方式中存在的问题以及改进的方法。

Abstract: Dividend policy as one of the core financial management of listed companies, occupies an important seats in the future development of enterprises, it is not only on behalf of the interests of the relationship between corporate shareholders and creditors, also on behalf of the relationship between corporate shareholders and managers, but also affect the company's future development path. Reasonable dividend policy internally can coordinate the relationship between investors and fund-raisers, operators, foreign to establish a good corporate image and attract investors. 西方国家不管是在理论的研究还是具体的实施都比我国早很多，我国对股利政策的研究刚刚起步，能成理论的著作少之又少，更不用说有针对我国实际的国情与资本市场发展的指导论著。从目前的状况看，我国上市公司在制定股利政策时，往往没有清晰明确的目标，没有根据公司的发展就股利分配制度作长远的规划，只是根据当年的盈利情况，现金流量状况或者只是为了短期的利益而制定股利政策，这就使得上市公司在股利政策的制定和实施上带有很大的肆意性和盲目性。不仅不能解决企业内部出现的问题，也不能形成回报机制，只是大股东“圈钱”的工具。
因此，从不同的角度出发，研究如何分配股利，股利分配的数量和形式，股利分配与公司价值、股票价格之间的关系，如何制定长远的规划目标。探讨公司应当如何制定股利政策和采取什么样的股利发放形式是公司必须面对和重视的重要政策，对各种不同的股利政策进行比较，最终选择符合公司特点与需求的股利政策。
