摘要:法人治理是指由所有者、理事会或董事会、高级经理人员组成的一种组织结构，要完善这种结构，就要明确划分股东、理（董）事会、经理人员的权力和义务，形成三者之间的内部治理，同时，也要通过竞争的市场实现对企业间接的控制,也就是外部治理。由于我国目前的农村信用社法人治理结构上的特殊性，存在产权不明晰、管理机制不够完善、信息披露不及时、内部人控制、监事会不能有效发挥作用等问题，产生这些问题的原因有体制上的也有主观上的，本文主要从江苏省农信社改革出发，对农信社改革前存在的一些问题及改革后仍需加强或改善的地方作了一些说明，希望能对江苏省的农村信用社改革有所帮助。

Abstract:Corporate governance reform is an important content of the establishment and perfection of the modern finance enterprise system. The structure of corporate governance in Rural Credit Cooperative is defined by property order and its organization form. Formal and scientific governance system can guarantee the high operation efficiency of the modern finance enterprise. During the seven-year reform, a great deal of achievements has been made, but some undesirable problems occur accordingly. For example, the “three boards and one management” operation can’t be fully executed and the check of balances mechanism can’t move effectively, to solve the problems above, this article make an analysis of the reason of those problems and propose some points.

由于客观条件及时间、精力等各方面的限制，本文采取对相关文献进行搜集整理，侧重于对理论方面的研究，而没有深入实际，所以一些看法和观点难免会有些疏漏及不完善的地方。
本文主要介绍了法人治理结构有关理论知识、改革前农信社存在的问题，同时立足于我国目前正在进行的农村信用社改革实践和农村信用社法人治理结构现状进行分析，从法人治理的角度，对江苏省农村信用社这个特殊对象在法人治理结构完善过程中的有关经验进行了总结，探讨农村信用社法人治理结构改革完善的恰当路径，指出其中存在的一些问题以及应该改善的地方。
