摘要:随着社会主义市场经济的不断发展和国际国内市场间竞争形势的加剧,企业越来越重视利用商标、商号等商业标识来不断获取竞争上的优势。与此同时,由于商标、商号等商业标识带来的良好声誉,以及对赢取市场竞争优势的巨大作用,以及经济上“搭便车”的利诱,导致一些涉及商业标识的知识产权的权利冲突案例频频出现。其中,商标权与商号权的冲突首当其冲,是其中最为突出的现象之一,并呈愈演愈烈的趋势,成为学术界和实务界共同关注的焦点。 首先,本文通过杭州“张小泉”与上海“张小泉”商标权与商号权冲突案来了解商标权与商号权,并对商标权与商号权冲突问题的类型经行分类,分析商标权与商号权冲突产生的原因。然后,通过比较研究的方法对解决商标权与商号权冲突提出建议。最后,也是本文的目的,及当前我国应当如何通过完善立法来解决商标权与商号权冲突。

Abstract:With the intensification of the competitive situation between the continuous development of the socialist market economy and international and domestic markets, more and more attention has been paid to the use of trademarks and trade names to obtain a competitive advantage. At the same time, due to the good reputation of trademarks and trade names, and the great role of access to market competitive advantage, as well as "free riders" in the economic inducements, resulting in the case of intellectual property rights relating to commercial logos conflicts frequently appear. Bear the brunt of the conflict in which, trademark and trade name rights, is one of the most prominent phenomenon, and become the focus of attention of academics and practitioners. First, by the analysis of case between the Hangzhou  " ZhangXiaoQuan " and Shanghai "  ZhangXiaoQuan" to understand the trademark and trade name rights, and trademark and trade name right type of conflict by the line classification, analysis trademark and trade name rights conflict causes .Than, Recommendations through a comparative approach to solve the conflict of the trademark and trade name rights. Finally, the purpose of this article, how it should be through the improvement of legislation to resolve the conflict in the trademark and trade name rights.

商标与商号的权利冲突,由来已久,一直没有得到有效的解决,并有蔓延的趋势。要想有效的解决商标权与商号权冲突问题,首先,要在立法上提升商号权的法律地位,完善对驰名商号权的保护;司法上,法院应积极地直接受理商标与商号权利冲突案件;行政管理上,应提高商号登记注册的行政层级,建立数字化的联机检索系统,在当前的制度环境下。只有多管齐下才能有效解决商标与商号权利冲突问题,保障商标或商号权利人的利益,维护市场秩序,实现社会公平、公正。

总之,我国必须从实际出发,学习其他国家的先进立法经验,尽可能减少商标权与商号权冲突的发生,以保护商事主体和消费者的合法权益,并最终促进我国市场经济的健康发展。
