摘要:一人有限责任公司并非新生事物，而是适应经济、社会发展需要而产生，在世界经历了一个逐渐获得认可并接受的发展历程。我国新《公司法》只有空洞的条文，缺乏可操作性。在实践中，由于一人有限责任公司在公司治理结构方面存在了比较突出的问题，极易造成股东滥用公司独立人格和有限责任，容易成为投资者转移财产规避债务的场所，侵害债权人的合法权益。本文旨在从一人有限责任公司制度构建的理论基础出发，介绍了我国公司法对一人有限责任公司的规制及法理分析，发现我国一人有限责任公司存在的缺陷，并结合世界主要国家的立法经验，对如何完善一人公司制度提出了几点建议。

Abstract:Person of Limited liability company by no means newly emerging things, but is the adaptation economy, the social development needs to produce, has experienced the development process which in the world obtains gradually approves and accepts. Our country new "Law of corporation" only then empty article lacks the feasibility. In reality, because a person of Limited Liability Company has had the quite prominent problem in the company management structure aspect, extremely easy to cause the shareholder to abuse the company independent personality and the limited liability, easy to become the investor transfer property circumvention debt the place, violates creditor's legitimate rights and interests.
