摘要:随着经济发展和世界立法的潮流，一人公司作为企业形态的一种形式参加社会经济活动已经成为了不可争议的事实。本文通过分析一人公司制度的立法价值，明确该制度在我国建立的必要性和重要性。但由于我国现行法律法规对一人公司的规定仍然存在不足，实践中各地的做法并没有统一的标准。本文希望能够找出一人公司的不足之处，对一人公司提出了一些应对治理方案与措施，以期完善我国一人公司制度和找出一种适合一人公司的发展道路。

Abstract:With the development of economy and the trend of the legislation in the world, one-member company as a form of enterprise form to participate in social economic activity has become not dispute. This paper analyzes the institution of the legislation value, and further points out the system in our country and the necessity of establishing the importance. But because China's existing laws and regulations, the institution is still inadequate, in practice the practice of all over and does not have uniform standard. This paper hope to be able to seek out a company in this article of the deficiencies, of the company put forward some measures to control plan and to perfect our country the institution and find out a suitable for one company's development road.

一人有限责任公司的产生，与市场经济的发展有着紧密的联系，也应从着经济发展和世界立法的潮流。当经济发展到一定阶段，市场竞争形式的多样性，必然要求市场主体的多样性。然而，一人公司也是百花齐放企业形式里的一种，其作为企业形态的一种形式参加社会经济活动，这符合自由市场经济的原则，也是对投资者自由选择投资方式的一种尊重。同时，从某个层面上说，一人公司的产生是市场经济生产资源的充分配置的结果，是必然的发展趋势。也只有顺从着这样的发展趋势，才能使市场经济得到更好的发展，从而，完善一人公司制度，通过制度来规范一人公司，使得一人公司良性发展，才能有利于促进自由市场经济的发展。
