摘要:跨国并购作为企业国际扩张的形式之一,在中国经济转型的重要时期,无疑成为了一条可行性途径,并为企业获取国外高新技术,取得战略制高点提供有效渠道。本文主要针对技术寻求型跨国并购案例进行对比研究。通过并购理论和文化理论联系吉利并购沃尔沃和华为并购三叶的案例,总结出给国内企业进行技术寻求型跨国并购的经验和教训,丰富技术型跨国并购理论研究。以吉利跨国并购沃尔沃的成功案例和华为跨国并购美国三叶公司失败案例为核心,从两个案例从并购背景和动因,并购过程介绍、并购过程危机应对,并购后效果和影响四个方面出发,通过对比和分析获取吉利并购沃尔沃案例的成功经验和其中的启示,以及解释华为并购美国三叶失败的原因和总结出对其他企业的建议与应对方法。文中结合实际数据和信息,依据理论知识,总结成有价值的理论成果,为企业进行技术寻求型海外并购提供建议和参考。

Abstract:As a form of corporate international expansion in China, cross-border mergers and acquisitions played an important period of economic transition and will undoubtedly become a feasible way for enterprises to obtain foreign high-tech and provide an effective channel to make the strategic high ground. This paper mainly discussed technology-seeking cross-border M & A cases. Through the acquisition of theory and cultural theory contacted with Geely acquisition of Volvo and Huawei merger clover case, summed to domestic enterprises for technology-seeking cross-border mergers and acquisitions experience and lessons learned, and improved technology-based cross-border M theory. This article first major technology-seeking mergers and acquisitions theory and literature review were discussed. Success Stories and cross-border M & A Volvo to Geely Huawei cross-border M & A clover failures as the core, the two cases from M & A background and motivation, the M & A process, M & A process of crisis response, post-merger effect and impact of four analysis, comparative analysis to Get Geely acquisition of Volvo cases of successful experience and revelation, and explain Huawei's acquisition of the reasons for the failure of the United States clover and summed up the recommended way to deal with other enterprises. Combination of actual data and information, the use of statistics, charts, analysis, combined with theoretical knowledge, theoretical results summarized as valuable as enterprises seek type overseas mergers and acquisitions advice and reference.
